MEMO : Protection of Minority Shareholder Rights in an LLP in Kazakhstan

A minority shareholder in a Limited Liability Partnership (LLP) is a holder of a stake that does not grant control over the partnership (less than 50%). The legislation of the Republic of Kazakhstan provides a number of rights and protection mechanisms for such shareholders.

Key rights of a minority shareholder:

According to the Law of the Republic of Kazakhstan "On Partnerships with Limited and Additional Liability", the following rights are granted to participants:

  • Right to participate in management - the ability to vote at the general meeting, propose items for discussion, and take part in key decisions.
  • Right to access information - access to accounting records, financial statements, meeting minutes, and decisions of governing bodies.
  • Right to profit - entitlement to a share of the net profit in proportion to their stake in the LLP.
  • Right to dispose of their stake - the ability to sell or transfer their share to another person, subject to the pre-emptive rights of other shareholders.
  • Right to protect their interests - the ability to challenge decisions of the governing bodies that infringe upon the rights of the minority shareholder.
  • Right to a share of assets upon liquidation - receipt of a portion of the LLP’s assets after settlements with creditors.

Methods for protecting minority shareholder rights:

  1. Judicial recourse - a shareholder may file a lawsuit if their rights are violated. For example, if a meeting is held without notifying the minority shareholder, the decision may be challenged in court.
  2. Founders’ agreement - entering into a shareholder agreement that includes additional safeguards and protection mechanisms.
  3. Charter provisions - including provisions in the LLP charter that regulate key decisions, such as requiring unanimous approval for major transactions.
  4. Requesting information - the right to demand reports and documents confirming the LLP’s financial condition.

Legal recommendations for effective exercise of rights:

  • Active participation in meetings - minority shareholders should monitor important decisions and attend general meetings to stay informed and involved.
  • Request and analyse financial documents - this helps identify potential risks and monitor the partnership’s operational activities.
  • Unite with other minority shareholders - joint action increases the chances of protecting shared interests.
  • Use legal mechanisms - if necessary, engage corporate law specialists to safeguard your rights and legitimate interests.
